1. Definitions

In these Terms and Conditions:

• "Agreement" means these Terms and Conditions together with any service agreement, engagement letter, or order form signed between the parties.
• "Service" means the AI integration services provided by Bamboo Loop, including the Field Inspection Report Assistant, Multilingual Marketing Asset Adaptation Service, and Corporate Development and Due Diligence Support Platform.
• "Client" / "You" means the organisation or individual entering into an engagement with Bamboo Loop.
• "We" / "Us" / "Bamboo Loop" means Bamboo Loop, a business entity registered and operating in Hong Kong at 14 Fuk Wing Street, Sham Shui Po, Kowloon.
• "Content" means any documents, data, text, images, or other material provided by the Client in connection with a Service.
• "Output" means any AI-assisted draft, summary, translation, adaptation, or report produced as part of the Service.

2. Acceptance of Terms

By engaging Bamboo Loop's services, submitting a contact form, or entering into a service agreement, you confirm that you have read, understood, and accepted these Terms and Conditions. You represent that you have the authority to enter this Agreement on behalf of your organisation. These Terms apply to all visitors to our website and all clients engaging our services.

Use of our website and services is restricted to individuals aged 18 and above with legal capacity to enter contracts.

3. Service Description and Availability

Bamboo Loop provides three AI integration services for business clients:

• Field Inspection Report Assistant: tablet-based reporting tool for property inspectors, including checklist design, onboarding, and one month of live pairing support. Price: HK$1,280.
• Multilingual Marketing Asset Adaptation Service: AI-assisted adaptation of marketing content into Traditional Chinese, Simplified Chinese, and English, with human editor review. Includes glossary setup and monthly quality review. Price: HK$2,480 per month.
• Corporate Development and Due Diligence Support Platform: document review assistance, data room summarisation, financial review support, and risk flagging for corporate development teams. Includes setup, integration, and a five-month supported rollout. Price: HK$4,480.

All services are delivered to clients located in or operating from Hong Kong. We do not represent that services are available or appropriate for use in other jurisdictions without prior agreement.

4. Client Responsibilities

As a client, you agree to:

• Provide accurate information during scoping and onboarding.
• Ensure that any Content shared with us is lawfully held and that you have the right to share it for the purposes of the Service.
• Ensure that all Outputs are reviewed and confirmed by a qualified human professional before they are treated as final or acted upon.
• Not use our services for any unlawful purpose or in any way that infringes the rights of third parties.
• Maintain appropriate access controls on your side for any platform or tool we deploy within your environment.

5. Prohibited Activities

You must not:

• Use Outputs as final, unreviewed documents in legal proceedings, regulatory filings, or binding commercial transactions without independent professional review.
• Attempt to reverse-engineer, copy, or reproduce the underlying methods, prompts, or configurations of the tools we deploy.
• Share access credentials for any platform we configure with unauthorised individuals.
• Use our services to process data about individuals without appropriate legal basis or consent under the Personal Data (Privacy) Ordinance.

6. Intellectual Property

Bamboo Loop retains ownership of its methodologies, prompt designs, configurations, and proprietary tools. The specific glossaries and checklists developed collaboratively with a client during onboarding are provided to the client for their own use and may be taken away at the end of the engagement — ownership of these materials passes to the client upon full payment.

Outputs produced by the Service, once reviewed and confirmed by the client, are treated as belonging to the client. Bamboo Loop does not retain rights to use client Content or confirmed Outputs for any purpose beyond service delivery.

7. Payment Terms

Prices are stated in Hong Kong Dollars (HKD) and are inclusive of all applicable taxes unless otherwise stated. Payment terms are set out in the engagement agreement. For monthly services, invoices are issued at the start of each calendar month. For fixed-price services, payment is due within 14 days of the invoice date.

Late payment may result in suspension of service delivery. We do not offer refunds for work already delivered or pairing sessions already conducted.

8. Disclaimer and Outputs

AI-assisted Outputs are drafts intended for human review. Bamboo Loop does not warrant that any Output is accurate, complete, or suitable for any particular purpose. Outputs should not be relied upon without independent professional review by a qualified inspector, editor, legal professional, financial analyst, or other relevant expert.

Bamboo Loop is not a licensed property surveyor, legal practitioner, financial adviser, or translation bureau. Nothing in our services constitutes professional advice in any regulated sense.

9. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Bamboo Loop's total liability to you for any claim arising out of or in connection with these Terms or a Service engagement shall not exceed the total fees paid by you to Bamboo Loop in the three months preceding the claim.

We exclude liability for: loss of profit, loss of data, indirect or consequential loss, or any loss arising from reliance on an unreviewed Output.

10. Confidentiality

Both parties agree to keep confidential all non-public information received from the other in connection with an engagement. This obligation survives termination of the Agreement for a period of two years. Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law.

We will not use client Content for any purpose other than delivering the agreed Service, and specifically not to train, fine-tune, or improve AI models. This prohibition is maintained in our agreements with third-party AI model providers.

11. Termination

Either party may terminate a service engagement with 30 days' written notice. Bamboo Loop may terminate immediately if you breach these Terms or fail to pay outstanding invoices after 14 days' notice. Upon termination, fees for work completed to date are due, and we will return or delete your Content as specified in your data handling agreement.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hong Kong. Any dispute arising from these Terms or a service engagement shall first be referred to informal discussion between representatives of both parties. If not resolved within 30 days, disputes shall be referred to arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) rules.

13. General Provisions

• Entire Agreement: these Terms, together with any engagement agreement, constitute the entire agreement between the parties.
• Severability: if any provision is found unenforceable, the remaining provisions remain in force.
• Waiver: failure to enforce any provision does not constitute a waiver of future enforcement.
• Assignment: you may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity.
• Notices: formal notices must be sent in writing to the address stated in the engagement agreement or to [email protected].

14. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised "Last Updated" date. Active clients will be notified of material changes by email. Continued use of our services after changes takes effect constitutes acceptance of the revised Terms.
